Instructor Agreement
Welcome to the Wealthlooks Instructor Agreement (“Instructor Agreement”). Wealthlooks is committed to providing a unique experience to its users and/or customers, whether they are instructors, affiliates or retail customers. We urge you to spend some time reading this Agreement before proceeding to register with us as an Instructor.
When you sign up to become an Instructor on the Wealthlooks platform, you agree to abide by the terms and conditions contained in this Agreement as well as in the General Terms and Conditions which together form the entire Agreement between us. Any terms that are not defined in this Agreement retain the meaning as specified in the documents comprising the entire Agreement.
As an Instructor, you are contracting directly with Wealthlooks Ltd, a legal entity registered under the Laws of the Republic of Cyprus, with registration number HE415920 and registered offices at 74A Arch. Makarios III Ave., 1077 Nicosia, Cyprus, regardless of whether payments are facilitated to you via one of our subsidiaries, affiliates and/or associates.
Instructor obligations
As an Instructor, you are exclusively responsible for all content and/or course that you post and/or submit, including lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments and announcements in any form or type. (“Submitted Content”).
You represent and warrant that:
you shall provide and maintain accurate account information
you own or have the necessary licenses, rights, consents, permissions and authority to authorize Wealthlooks to use your Submitted Content as specified herein and the entire Agreement;
you are the sole legal and beneficial owner of, and own all the rights and interests in, the Submitted Content;
your Submitted Content will not infringe or misappropriate any third party's intellectual property rights;
you have the required qualifications, credentials and expertise (including education, training, knowledge and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and
you shall ensure a quality of service that corresponds with the standards of your industry and instruction services in general.
you, as the sole author of the Submitted Content, waive all moral rights in respect of the use to be made of the Submitted Content.
You warrant that you shall not:
post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content and/or information;
post and/or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam and/or any other form of solicitation (commercial and/or otherwise) through the services or to any user;
use the services for business other than providing tutoring, teaching and instructional services to students and/or persons who wish to acquire such services;
engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
frame or embed the services (such as to embed a free version of a course) or otherwise circumvent the services;
impersonate another person or gain unauthorized access to another person's account;
interfere with or otherwise prevent other Instructors from providing their services or content; or
abuse Wealthlooks’ resources, including support services.
License to Wealthlooks
You grant Wealthlooks the rights detailed in the General Terms and Conditions to offer, market and otherwise exploit your Submitted Content. This includes the right to add captions or otherwise modify the Submitted Content to ensure accessibility. You also authorize Wealthlooks to sublicense these rights to your Submitted Content to third parties, including students directly and through third parties such as resellers, distributors, affiliate websites, deal sites and paid advertising on third-party platforms.
Unless otherwise agreed, you have the right to remove all or any portion of your Submitted Content from the services at any time. Except as otherwise agreed, Wealthlooks’ right to sublicense the rights in this section shall terminate and Wealthlooks shall not have the right to sublicense the Submitted Content to any new users, 30 (thirty) days after the Submitted Content's removal.

Trust and safety policies
You agree to abide by Wealthlooks’ Trust & Safety policies as such are provided below, and other content quality standards or policies prescribed by Wealthlooks from time to time. You are urged to review these policies periodically to ensure that you comply with any updates to them. You understand that your use of the services is subject to Wealthlooks’ approval which we may grant or deny at any time at our sole discretion, such discretion to be exercised reasonably.
Without limiting your obligations towards Wealthlooks and the users of the Services, we reserve the right to review and approve the Submitted Content.
Where this is considered appropriate, reserve the right to remove content including part or all of the Submitted Content, suspend payouts, and/or ban Instructors for any reason at any time, without prior notice, including, without limitation, in circumstances where Wealthlooks is required to do so to comply with a legal requirement or a court order or where Wealthlooks reasonably believes that:
· your conduct as Instructor and/or the Submitted Content or part of it, or any other content that you submit in the context of the Services, or content, is in breach of this Agreement and/or does not otherwise comply with our policies or legal terms (including the General Terms and Conditions);
· may cause harm to Wealthlooks, our users, or third parties or our brand or our business ethics;
· content has a negative impact on the user experience or our brand or our business ethics;
· an Instructor engages the services of any third party who violates Wealthlooks’ policies; or
· an Instructor uses the services in a manner that constitutes unfair competition, such as promotion of their off-site business in a manner that violates Wealthlooks’ policies.
Relationship to Other Users
Instructors do not have a direct contractual relationship with users; the only information you will receive about users is that provided to you through the Services. You agree that you shall not use the data you receive for any purpose other than providing your Services to those users on the Wealthlooks platform and that you shall not solicit additional personal data or store users’ personal data outside the Wealthlooks platform. You shall not use the Service to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations (spam). You agree to indemnify Wealthlooks against any claims arising from your use of users’ personal data.
Pricing
Price Setting
When creating Submitted Content, available for purchase on our website, you will be expected to provide your suggested price and Wealthlooks reserves the right to approve it or decline it or recommend another price. The final price will be agreed between us. It is hereby agreed that the price range for any Submitted Content shall be between €10 and €300, net of any applicable taxes. Alternatively, you may choose to offer your Submitted Content for free to Wealthlooks and in such case, Wealthlooks shall retain the right to either offer it for free or charge any fee it thinks fit. In addition to any promotion that we might run, based on which the price of any Submitted Content might be adjusted, we reserve the right to examine the price of any Submitted Content at regular intervals, depending on the demand of any Submitted Content and adjust the price in accordance with the procedure set in this paragraph.
In any event, you give us permission to share your submitted content for free with our employees, with selected partners and in cases where we need to restore access to accounts who have previously purchased your submitted content. You understand that you will not receive compensation in these cases.
Transaction Taxes
In the event that a customer purchases a product or service in a country that requires Wealthlooks to remit national, state or local sales or use taxes, value added taxes (V.A.T.) or other similar transaction taxes (“transaction taxes”), under applicable law, we may have to collect and remit those transaction taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due.
Promotional Programs
Wealthlooks may offer optional marketing programs (promotional programs) in which you may choose to participate and in which case such shall be detailed in a relevant promotions policy to be announced from time to time by Wealthlooks.
Payments
Revenue Share
When a user and/or customer purchase your Submitted Content, we calculate the gross amount of the sale as the amount actually received by Wealthlooks from the user and/or customer (“Gross Amount”). It is specified that in case any Submitted Content is offered at a discount due to a price adjustment or any promotional action run by Wealthlooks in accordance with any applicable Policy, the Gross Amount shall be calculated on this adjusted price. From this, we subtract any transaction taxes, any mobile platform fees applied to mobile provider checkout sales, and processing fee for any non-mobile provider checkout sales and any amounts paid to third parties in connection with any promotional programs running at the time to calculate the net amount of the sale (“Net Amount”).
Out of the Net Amount, you shall be entitled to receive commission for the sale of your Submitted Content as follows (the “Commission”):
70% of the Net Amount, in case you sell your Submitted Content directly via any personal links.
In case your Submitted Content is sold via our platform and/or Services, you shall be entitled to a commission of 50%.
Where an Independent Business Owner (as this term is spe) of In addition, you shall be entitled to receive a proportional amount depending on the volume of sales of the Submitted Content via our platform and/or Services as follows (the “Proportional Amount”):
30% on the Net Amount for up to 500 sales of your Submitted Content;
30% on the Net Amount for 501-1500 sales of your Submitted Content;
30% on the Net Amount for over1501 sales of your Submitted Content;
If you opt into any of the Promotional Programs, the relevant revenue share may be different and will be as specified in any such promotions policy to be enacted by Wealthlooks from time to time.
Wealthlooks makes all instructor payments in Euro (EUR) regardless of the currency with which the sale may have been made. Wealthlooks is not and shall not be responsible for your foreign currency conversion fees, wiring fees or any other processing fees that you may incur. Your revenue report will show the sales price (in local currency) and your converted revenue amount (in EUR).
Receiving payments
For us to pay you in a timely manner, you must own a PayQuicker account (or Bank account if not other method is not available), and must keep us informed of the correct email associated with your account. Wealthlooks reserves the right to request and you shall be obliged to provide any identifying information or tax documentation necessary or required under applicable laws, for payment of amounts due, and you agree that we have the right, where obligated by applicable laws and/or regulations, to withhold appropriate taxes from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.
Depending on the applicable revenue share model, payment will be made within 45 days of the end of the month in which we receive the fee for a course and/or submitted content.
We reserve the right not to pay out funds in the event of identified fraud, violations of intellectual property rights or other violations of the law.
If we cannot settle funds into your payment account after the period of time set forth by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by submitting those funds to the appropriate government authority as required by law.
Refunds
You acknowledge and agree that users and/or customers may have the right to receive a refund, as detailed in our General Terms and Conditions, Policies and Procedures and other applicable documents. In the event that a refund has been granted under the General Terms and Conditions, Instructors shall not receive any revenue.
In the event that a user and/or customer asks for a refund after we have effected payment to the relevant Instructor, we reserve the right to either (a) deduct the amount of the refund from the next payments sent to the Instructor or (b) where no further payments are due to the Instructor or the payments are insufficient to cover the refunded amounts, require the Instructor to refund any amounts refunded to users and/or customers for the Instructor's submitted content.
Trademarks
While you are a published Instructor and subject to the requirements below, you may use our trademarks where we authorize you to do so.
You must:
only use the images of our trademarks that we make available to you, as detailed in any guidelines we may publish;
only use our trademarks in connection with the promotion and sale of your submitted content available on the Wealthlooks platform or your participation thereon; and
immediately comply if we request that you discontinue use.
You must not:
use our trademarks in a misleading or disparaging way;
use our trademarks in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services; or
use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.
use our trademark in any context whatsoever, except in relation to the Submitted Content to be made available thorough our platform and/or Services and/or through your personal links.
Deleting your account and Termination of this Agreement
We will use commercially reasonable efforts to make any remaining scheduled payments that are owed to you up until the date you choose to terminate this Agreement and delete your account. To do this you will have to notify us by email at [email protected] and the date of your email shall be considered as the date of the termination of this Agreement. You understand that that your name and other personal details may remain accessible to those users and/or customers after your account is deleted. You have the right to delete your account at any time and If you need help or encounter difficulty deleting your account, you can contact us at [email protected].
Wealthlooks retains the right to terminate this Agreement without your consent and/or suspend or terminate your access, your account, or your account’s access to all or part of the Service and/or block you from acting as an Instructor and/or user if: (a) you materially or repeatedly breach this Agreement; (b) Wealthlooks is required to do so to comply with a legal requirement or a court order; or (c) Wealthlooks reasonably believes there has been conduct that creates liability or harm to any user, other third party, Wealthlooks or its affiliates.
Indemnification
Wealthlooks, its parent or associated companies, directors, officers, shareholders, employees, assignees and/or agents (collectively referred to as “Affiliates”) shall not be liable towards any users having acquired and/or paid for Submitted Content for, and you release Wealthlooks and its Affiliates from, all claims for loss of actual or anticipated profits, interest, revenue, anticipated savings or business goodwill, incidental, direct, special or consequential or exemplary loss or damages or any other loss incurred, including intellectual rights violations. You further agree to release Wealthlooks and its Affiliates from all liability arising from or relating to the promotion or operation of your Submitted Content and any activities related thereto (e.g. the presentation of Wealthlooks products or Bonus Affiliates commissions, the presentation of seminars, training videos and other Submitted Content through our services, etc.), and agree to indemnify Wealthlooks for any liability, damages, fines, penalties or other awards including legal fees or court costs arising from any unauthorized conduct that you undertake in operating your Wealthlooks business and/or operations as an Instructor.
Miscellaneous
Updating these terms
We amend these terms from time to time. Every time you wish to use our site, please check these terms to ensure you understand the terms that apply at that time.
Language
The English version of this Agreement is the official, authoritative version. Translations that may be provided are for your convenience only and should always be cross-referenced with the English text, which is the only version of the text intended to have legal effect.
Governing law
The Laws of the Republic of Cyprus shall govern this Agreement in its entirety and the Courts of the Republic of Cyprus will have exclusive jurisdiction over any type of disputes.
Relationship between us
You agree that no joint venture, partnership, employment, contractor or agency relationship exists between us.
Confidentiality
Any information acquired during our relationship that would not have been otherwise available, either directly or indirectly, shall be treated as confidential.
Survival
The following sections shall survive the expiration or termination of this Agreement: Sections License to Wealthlooks, Relationship to other users, Receiving payments), Refunds, Deleting your account, Miscellaneous and Confidentiality.
